Terms and Conditions

1. Purpose and Scope of the System

These Terms and Conditions govern the access to and use of the internal software system ("System") developed and maintained by Minterminds – Empowering Minterminds for Digital Success ("Minterminds," "Company," "we," "us," or "our"). The System is intended solely to support internal business operations, including employee task management, attendance tracking, project assignments, and maintenance of internal company records. The System is not a public product, commercial service, or customer-facing platform, and its use is strictly limited to authorized personnel within the organization.

2. Authorized Users and Access

Access to the System is restricted to current employees, authorized contractors, consultants, and designated administrators of Minterminds who have been granted permission based on their role and responsibilities. Users may only access information and features relevant to their assigned duties, and access rights may be modified, limited, or revoked at any time at the Company's discretion based on operational, security, or business needs.

3. User Responsibilities and Account Security

Users are responsible for maintaining the confidentiality of their login credentials and ensuring that all information entered or managed within the System is accurate, complete, and up to date. Users must promptly report any suspected unauthorized access, security incident, or misuse of the System. Any actions performed using a user's credentials will be considered the responsibility of that user unless proven otherwise.

4. Prohibited Conduct

Users must not attempt to access data beyond their authorization, bypass security measures, interfere with the System's functionality, copy or distribute internal data without approval, introduce malicious code, or use the System in a way that violates company policies or applicable laws. Any misuse, abuse, or unauthorized activity may result in disciplinary action, including suspension or termination of access, and may lead to further internal or legal consequences.

5. Intellectual Property Rights

All rights, title, and interest in and to the System, including its software, source code, architecture, design, databases, documentation, and related materials, are and shall remain the exclusive property of Minterminds. Use of the System does not grant users any ownership rights or licenses beyond the limited right to access and use the System for internal business purposes during their authorized relationship with the Company.

6. Monitoring, Logging, and Auditing

Minterminds reserves the right to monitor, log, and review System usage, access records, and activity logs to ensure security, compliance, operational integrity, and proper use. Such monitoring is conducted for legitimate internal purposes and may include audits or reviews without prior notice, in accordance with applicable laws and internal policies.

7. Data Handling and Privacy

All data processed through the System is handled in accordance with the Company's internal Privacy Policy. By using the System, users acknowledge that their data may be collected, stored, accessed, and processed for internal business and operational purposes, subject to appropriate security measures and access controls, and consistent with general data protection principles.

8. System Availability and Changes

The Company does not guarantee uninterrupted or error-free operation of the System. Access may be temporarily limited, suspended, or modified due to maintenance, updates, security issues, or operational requirements. Minterminds reserves the right to modify, enhance, restrict, or discontinue any part of the System at its discretion without prior notice.

9. Suspension and Termination of Access

Access to the System may be suspended or terminated immediately if a user no longer requires access for business purposes, violates these Terms, breaches company policies, or upon termination of employment or contractual relationship. Upon termination of access, users must immediately cease all use of the System and any related data.

10. Limitation of Liability

To the fullest extent permitted by law, Minterminds shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the System, including decisions made based on System data, temporary unavailability, or internal operational impacts. The System is provided "as is" for internal support purposes only.

11. Legal Compliance

Users agree to comply with all applicable laws, regulations, and internal company policies when using the System. These Terms are intended to reflect generally accepted legal and data protection principles without reference to a specific jurisdiction unless otherwise required by law.

12. Internal-Use Disclaimer

These Terms and Conditions apply exclusively to Minterminds' internal software system and do not create any rights for third parties or apply to any external products, services, or platforms offered by the Company.

13. Amendments to These Terms

Minterminds reserves the right to update or modify these Terms at any time. Continued access to or use of the System following any changes constitutes acceptance of the revised Terms.

14. Confidentiality Obligations

All information accessed, processed, or viewed within the System is considered confidential company information unless explicitly stated otherwise. Users are required to maintain strict confidentiality regarding all data, records, reports, and internal materials obtained through the System and must not disclose such information to unauthorized individuals during or after their employment or engagement with Minterminds.

15. No Expectation of Privacy

Users acknowledge that the System is a company-owned tool provided for business purposes and that there is no expectation of personal privacy when using the System. All data, communications, and activities conducted through the System may be accessed, reviewed, or monitored by authorized personnel in accordance with company policies and applicable laws.

16. Compliance with Internal Policies

Use of the System is subject to all applicable internal policies, including but not limited to information security policies, acceptable use policies, employment agreements, and codes of conduct. In the event of any conflict between these Terms and other internal policies, Minterminds reserves the right to determine the appropriate interpretation and enforcement.
